Maintlytics Software License Agreement

This agreement is between Chad Zahner, doing business as Maintlytics ("Maintlytics", "we"), and the company or plant that installs or uses Maintlytics ("you"). By choosing "I agree" in the software, or by installing or using it, you accept this agreement. If you don't accept it, don't install or use Maintlytics.

1. Ownership

Maintlytics — the software for Mac, Windows, iPhone, iPad, Apple Watch and the web, its source code, designs, screens, reports, calculations, methods, documentation and the Maintlytics name and logo — is owned by Chad Zahner and protected by copyright, trademark, trade-secret and other laws. The software is licensed to you, not sold. We keep every right not expressly given to you in this agreement.

2. Your license

While your license is current and you follow this agreement, you may install and use Maintlytics for the internal maintenance work of the plant or plants named in your license code, up to the number of plants it allows. The license is non-exclusive and non-transferable, and you may not sublicense it.

3. What you may not do

You may not, and may not let anyone else: (a) copy the software, except for ordinary backups of your own data; (b) modify, translate or make derivative works of it; (c) reverse engineer, decompile, disassemble or otherwise try to obtain its source code, except where the law expressly allows it despite this limit; (d) remove, disable, bypass or interfere with the license code, license checks or any other protection; (e) share, publish, sell or transfer a license code, or use one at a plant it wasn't issued for; (f) rent, lend, resell, host or provide the software to anyone outside your company; (g) use the software, its screens, reports, calculations or documentation to build, design or help build a competing product or service; or (h) remove or change any copyright, trademark or other notice.

4. Confidential information

The software's design, non-public features, screens, calculations, methods, documentation, pricing and license codes are our confidential information. Keep them confidential, use them only to use Maintlytics under this agreement, and share them only with your employees and contractors who need them and are bound to keep them confidential.

5. Your data

Your plant's data belongs to you. It stays on your own Mac and, if you use the apps, in your own iCloud account. We don't collect it. The software reads a public list on maintlytics.com to confirm that your license is still active; that check sends no plant data.

6. Feedback

If you send us ideas or suggestions, we may use them without any obligation to you.

7. Term and ending the license

Your license lasts until the expiry date in your license code unless it ends sooner. If you break this agreement or don't pay for your license, we may end your license and switch off your license code, and the software will stop working. When the license ends, stop using the software and delete it. Sections 1, 3, 4, 8, 9 and 10 continue after the license ends.

8. No warranty

Maintlytics is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Maintlytics helps you review maintenance data; decisions about safety, equipment and staffing remain yours.

9. Limit of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, production or data. Our total liability under this agreement is limited to the amount you paid for your license in the 12 months before the claim.

10. Enforcement and governing law

Breaking sections 1, 3 or 4 would cause us harm that money alone can't fix, so we may ask a court for an injunction in addition to any other remedy. This agreement is governed by the laws of the Commonwealth of Virginia, USA, and any dispute will be heard in the state or federal courts located in Virginia.

11. Everything else

This is the whole agreement about the software unless we sign a separate written agreement with you. If any part is found unenforceable, the rest still applies. We may update this agreement; a new version applies when you accept it in the software. Questions: chad@czahner.com.
